Sunnyvale-based Vitria (NASDAQ:VITR), a provider of businesz processintegration products, said it reached a definitiv e merger agreement for Vitria Technology to be acquired by a new corporation formed and wholly owneds by JoMei Chang, a member of the company'sd board of directors, and Dale Skeen, a board member and the company'z current chief executive. The new corporationj will pay $2.75 per share for each of Vitria'as outstanding shares of commoj stock not held by Changand Skeen. Buffalo attorney Stephen Schop said he complied with a June 8 orde fromthe U.S. Bankruptcyt Court Western District of New York to turn over all documentzconcerning Issa’s acquisition of the Statled and a 2008 mortgage for the Delaware Avenue buildingf that Issa’s father, Mahmoud al obtained. The elder Issa took out a $4.5 million mortgagse on the 18-story, 800,000-square-foot building. The requesyt was made to Schop from Morris who was appointed the Statler trusteeby U.S. Bankruptcy Court Judge Carl Bucki.
The Statler’a owner, , was placed into involuntary Chapter 11 proceedinga in April as part of a complex series of legao actions brought against BSC Development andBashad Issa. The Statler is set for a July court-imposef auction. Bids are due on July 9 and the auction is set forJuly 14. Buckji said he hopes to have the deal closed and new owneras in place by the endof July. To prepars for the auction, Horwitz, through a court-sanctionedx motion, asked Schop to turn over his documents concerning the sale of the Statler and the late mortgage the elderIssa obtained. Schop turned the documents over onJune 11.
